SoluCortex Privacy Policy

1. Introduction

This Privacy Policy explains how SoluAI SpA, a company incorporated under the laws of the Republic of Chile, Tax ID/RUT No. 76.715.107-1, with principal operations in Santiago, Chile (“SoluAI”, “we”, “us” or “our”), collects, uses, stores, shares and protects personal data in connection with SoluCortex.

For purposes of this Privacy Policy, “SoluCortex” refers to the software-as-a-service platform, website, application, APIs, interfaces, workspaces, documentation, support channels, integrations and related services made available by SoluAI under the SoluCortex name, domain or brand.

This Privacy Policy applies to individuals who access or use SoluCortex, create an account, subscribe to a plan, use the website, interact with the platform, communicate with SoluAI, receive support, or otherwise provide personal data in connection with the Service.

This Privacy Policy should be read together with the SoluCortex Terms and Conditions, which govern the access to and use of the Service.


2. Language

This Privacy Policy may be made available in English and Spanish.

The English version is the governing version for all purposes. The Spanish version is provided for convenience and transparency for Spanish-speaking Customers and Users.

In the event of any inconsistency, conflict or discrepancy between the English version and any Spanish translation, the English version shall prevail, to the maximum extent permitted by applicable law.


3. Roles and Responsibility

Depending on the context, SoluAI may act as a controller, responsible party, processor or service provider with respect to personal data.

For personal data collected and processed by SoluAI for account creation, authentication, billing, payment management, customer relationship management, support, security, analytics, legal compliance and operation of SoluCortex, SoluAI generally acts as an independent controller or responsible party, as applicable under relevant law.

For personal data included in Customer Content and processed by SoluAI on behalf of a Customer within SoluCortex, SoluAI generally acts as a processor or service provider, and the Customer generally acts as the controller or responsible party.

The exact role may depend on the nature of the data, the Customer’s use of the Service, the applicable jurisdiction and any separate written agreement or Data Processing Addendum entered into between the Customer and SoluAI.


4. Personal Data We Collect

SoluAI may collect and process the following categories of personal data.

4.1 Account and Registration Data

We may collect information required to create, access and manage an account, such as:

  • name;
  • email address;
  • password-related information;
  • organization name;
  • role or job title;
  • country or region;
  • language preference;
  • account settings;
  • workspace or team information.

4.2 Billing and Commercial Data

If you subscribe to a paid plan, start a trial or interact with billing features, we may process billing and commercial information, such as:

  • selected plan;
  • subscription status;
  • billing name;
  • billing email;
  • billing address;
  • tax identification information;
  • invoices;
  • receipts;
  • payment status;
  • payment processor references;
  • transaction metadata.

Full payment card numbers, payment card security codes and complete payment credentials are processed by third-party payment processors and are not directly stored by SoluAI.

4.3 Customer Content

Customers and Users may submit, upload, store, generate or process content through SoluCortex. This may include:

  • project memories;
  • technical notes;
  • architecture information;
  • technical decisions;
  • risks;
  • conventions;
  • bug history;
  • technical debt;
  • sensitive module descriptions;
  • learnings;
  • external integration information;
  • prompts;
  • files;
  • metadata;
  • software project information;
  • other materials submitted to or processed through the Service.

Customer Content may contain personal data if the Customer or Users include personal data in such content.

The Customer is responsible for determining what Customer Content is submitted to SoluCortex and for ensuring that it has the rights, authorizations, notices, consents and legal bases required to process such information through the Service.

4.4 Technical and Usage Data

When you access or use SoluCortex, we may collect technical and usage information, such as:

  • IP address;
  • device information;
  • browser type;
  • operating system;
  • session information;
  • login events;
  • authentication events;
  • API usage;
  • feature usage;
  • workspace activity;
  • project activity;
  • error reports;
  • logs;
  • performance data;
  • security events;
  • request metadata;
  • approximate location derived from technical data.

4.5 Support and Communication Data

If you contact SoluAI, request support, report an issue or communicate with us, we may process:

  • messages;
  • email communications;
  • support requests;
  • attachments;
  • feedback;
  • issue reports;
  • survey responses;
  • business contact information;
  • communication metadata.

4.6 Cookies and Similar Technologies

SoluAI may use cookies, local storage, pixels, analytics tools or similar technologies on the SoluCortex website or platform.

These technologies may be used to:

  • enable essential website or platform functionality;
  • maintain sessions;
  • remember preferences;
  • improve security;
  • analyze usage;
  • measure performance;
  • understand product adoption;
  • improve the website and Service.

Where required by applicable law, SoluAI will request consent for non-essential cookies or similar technologies.


5. How We Use Personal Data

SoluAI may use personal data for the following purposes:

a. to provide, operate, maintain and improve SoluCortex;

b. to create, authenticate and manage accounts;

c. to manage workspaces, users, permissions, integrations and subscriptions;

d. to process payments, invoices, receipts, taxes, trials, renewals and billing matters;

e. to provide support and respond to requests;

f. to operate APIs, integrations, webhooks and AI-assisted features;

g. to process Customer Content as necessary to provide project memory, search, semantic search, retrieval, AI Features and related functionality;

h. to monitor performance, availability, reliability and usage of the Service;

i. to detect, prevent and respond to fraud, abuse, security incidents, unauthorized access, misuse or violations of the Terms;

j. to debug, troubleshoot, test and improve the Service;

k. to comply with legal, tax, accounting, regulatory and contractual obligations;

l. to communicate with Customers and Users about service updates, security notices, billing matters, product changes, legal notices or administrative matters;

m. to develop, improve and evaluate features, workflows, documentation, usability and customer experience;

n. to enforce the Terms and protect the rights, property, safety and interests of SoluAI, Customers, Users, third parties and the Service.


6. Legal Bases for Processing

Depending on the applicable jurisdiction and the context of the processing, SoluAI may process personal data based on one or more of the following legal bases:

a. performance of a contract or steps prior to entering into a contract;

b. compliance with legal obligations;

c. legitimate interests, such as operating, securing, improving and protecting the Service;

d. consent, where required by applicable law;

e. the Customer’s instructions, where SoluAI acts as processor or service provider;

f. protection of rights, security, fraud prevention, dispute resolution or enforcement of agreements;

g. any other legal basis permitted by applicable law.

Where processing is based on consent, the relevant individual may withdraw consent at any time, subject to legal or contractual limitations and the technical capabilities of the Service.


7. Artificial Intelligence and Customer Content

SoluCortex may include AI Features that process Customer Content, prompts, project memories, metadata, instructions or retrieved context to provide functionality such as summarization, classification, semantic search, context retrieval, recommendations, generation, agent memory or context injection.

SoluAI may use Third-Party Services, including artificial intelligence providers, embedding providers, infrastructure providers or related technical providers, to operate AI Features.

SoluAI will not use Customer Content to train general-purpose artificial intelligence models made available to other customers or to the public, unless the Customer has provided express authorization or such use is otherwise clearly permitted under a separate written agreement.

SoluAI may use aggregated, anonymized or de-identified technical, operational or usage information that does not identify the Customer, Users or Customer Content for security, analytics, performance monitoring, debugging, capacity planning, product improvement or service development, to the extent permitted by applicable law.


8. How We Share Personal Data

SoluAI may share personal data with the following categories of recipients, only as reasonably necessary and in accordance with this Privacy Policy, the Terms, applicable agreements and applicable law.

8.1 Service Providers and Subprocessors

We may share personal data with providers that help us operate, secure, support, bill, analyze or improve SoluCortex, including:

  • hosting providers;
  • cloud infrastructure providers;
  • database providers;
  • payment processors;
  • artificial intelligence providers;
  • embedding providers;
  • email providers;
  • analytics providers;
  • monitoring and logging providers;
  • support tools;
  • security tools;
  • communication tools;
  • professional advisors.

8.2 Payment Processors

Payments may be processed by third-party payment processors, including dLocal or other providers selected by SoluAI from time to time.

Payment processors may process payment information, apply fraud prevention controls, issue payment confirmations, calculate taxes, perform currency conversion or apply their own terms and privacy policies.

8.3 Customer-Enabled Integrations

If a Customer or User connects an integration, webhook, external endpoint, API, repository, automation tool or third-party system, SoluAI may share or transmit data according to the Customer’s configuration and instructions.

The Customer is responsible for selecting, authorizing, configuring and securing Customer-enabled integrations.

8.4 Legal and Compliance Disclosures

SoluAI may disclose personal data where reasonably necessary to:

  • comply with applicable law;
  • respond to court orders, legal process or regulator requests;
  • enforce the Terms;
  • investigate fraud, abuse, misuse or security incidents;
  • protect the rights, safety, property or security of SoluAI, Customers, Users, third parties or the Service;
  • defend legal claims;
  • comply with tax, accounting or regulatory obligations.

8.5 Business Transactions

SoluAI may disclose or transfer personal data in connection with a merger, acquisition, financing, investment, corporate reorganization, sale of assets, due diligence process or similar business transaction.

Where required by applicable law, SoluAI will take reasonable steps to protect personal data in connection with such transactions.


9. International Data Processing and Transfers

SoluAI is based in Chile, but SoluCortex is a cloud-based platform that may use infrastructure, providers and services located in other countries.

Personal data may be processed, stored or accessed in countries other than the country where the Customer or User is located.

Where applicable law requires safeguards for international transfers of personal data, SoluAI will use commercially reasonable efforts to implement appropriate safeguards, contractual measures or other lawful transfer mechanisms.

By using SoluCortex, the Customer acknowledges that cloud-based, AI-assisted, payment-enabled and globally accessible services may involve international processing and transfers.


10. Data Retention

SoluAI retains personal data and Customer Content for as long as reasonably necessary to provide the Service, maintain accounts, comply with legal obligations, resolve disputes, enforce agreements, prevent fraud, maintain security, support billing and tax records, and fulfill the purposes described in this Privacy Policy and the Terms.

Retention periods may vary depending on the type of data and the purpose of processing.

Examples include:

a. account data may be retained while the Account remains active and for a reasonable period after closure;

b. billing, invoice, tax and payment records may be retained for the period required by applicable law;

c. Customer Content may be retained according to the Terms, including post-cancellation, termination, deletion request and backup retention rules;

d. logs and security records may be retained for security, debugging, fraud prevention, compliance and operational purposes;

e. support communications may be retained to manage customer relationships, resolve issues and maintain records.

Backup copies may remain for a limited period according to SoluAI’s normal backup rotation cycles and may not be deleted immediately from all systems.


11. Data Security

SoluAI implements commercially reasonable technical and organizational measures designed to protect personal data and Customer Content against unauthorized access, loss, misuse, alteration, disclosure, disruption or destruction.

Such measures may include:

  • access controls;
  • authentication mechanisms;
  • permission management;
  • API key protection;
  • encryption mechanisms where appropriate;
  • project isolation;
  • rate limiting;
  • logging and monitoring;
  • backup procedures;
  • infrastructure security controls;
  • vendor security practices;
  • internal policies;
  • vulnerability management;
  • operational safeguards.

However, no software, cloud service, transmission, network, storage method or internet-based system can be guaranteed to be completely secure.

Customers and Users are responsible for protecting their credentials, devices, email accounts, API keys, access tokens, integrations, permissions and Customer Content.


12. Data Subject Rights

Depending on applicable law, Users and other data subjects may have rights regarding their personal data, including the right to:

  • access personal data;
  • request correction or update;
  • request deletion;
  • object to processing;
  • request restriction of processing;
  • request portability;
  • withdraw consent where processing is based on consent;
  • file a complaint with a competent authority.

Requests related to personal data processed by SoluAI as controller may be submitted to the contact channels listed in this Privacy Policy.

Requests related to personal data included in Customer Content may need to be directed to the relevant Customer, because the Customer may act as controller or responsible party for that data.

SoluAI may verify the identity and authority of the person making the request before responding. SoluAI may deny or limit requests where permitted by applicable law, including where necessary to protect security, comply with legal obligations, preserve evidence, prevent fraud, protect rights or respect another person’s privacy.


13. Customer Responsibilities

The Customer is responsible for:

a. determining what Customer Content is submitted to SoluCortex;

b. ensuring that Customer Content is lawful, authorized and appropriate for processing through the Service;

c. providing all notices, consents and legal bases required for personal data included in Customer Content;

d. configuring Users, permissions, Workspaces, integrations and API access appropriately;

e. avoiding unnecessary upload of highly sensitive, regulated or restricted data;

f. responding to data subject requests where the Customer acts as controller or responsible party;

g. complying with applicable privacy, data protection, confidentiality and security obligations.

SoluCortex is not intended to be used as a password manager, secrets vault, regulated health record system, payment card storage system, legal archive, financial record system or other specialized regulated data repository unless expressly stated by SoluAI in writing.


14. Children’s Privacy

SoluCortex is not intended for use by children.

Users must be at least eighteen (18) years old, or the legal age of majority in their jurisdiction, to create an Account or use the Service.

SoluAI does not knowingly collect personal data from children. If SoluAI becomes aware that personal data from a child has been collected in violation of this Privacy Policy or applicable law, SoluAI will take reasonable steps to delete or restrict such data.


15. Marketing Communications

SoluAI may send administrative, transactional or service-related communications, including account notices, billing notices, security notices, product updates, legal notices and support communications.

SoluAI may also send marketing communications where permitted by applicable law or with appropriate consent when required.

Users may opt out of marketing communications by following the unsubscribe instructions included in the communication or by contacting SoluAI. Even if a User opts out of marketing communications, SoluAI may still send non-marketing communications related to the Service, account, security, billing or legal matters.


16. Cookies and Analytics

SoluAI may use cookies and similar technologies to operate, secure, analyze and improve the SoluCortex website and Service.

Cookies may be classified as:

a. essential cookies, required for website or platform functionality, authentication, security or session management;

b. preference cookies, used to remember choices such as language or settings;

c. analytics cookies, used to understand how visitors and Users interact with the website or Service;

d. marketing cookies, if used, intended to measure campaigns or personalize communications.

Where required by applicable law, SoluAI will provide cookie notices, consent mechanisms or opt-out options.

Users may be able to control cookies through browser settings. Disabling certain cookies may affect website or platform functionality.

SoluCortex may record memory lifecycle events, approval decisions, retrieval events and related governance metadata for auditability, product operation and customer support. Where a Customer configures automatic approval for technical memories, such approval is still logged and traceable.


17. Third-Party Links and Services

SoluCortex may include links to third-party websites, documentation, services, platforms, integrations or resources.

This Privacy Policy does not apply to third-party websites or services that are not owned or controlled by SoluAI.

SoluAI is not responsible for the privacy practices, security practices, content, policies or decisions of third-party services. Customers and Users should review the privacy policies and terms of those third parties before using them.


18. Changes to this Privacy Policy

SoluAI may update this Privacy Policy from time to time.

If SoluAI makes material changes, SoluAI will provide reasonable notice through email, in-platform notification, website notice, publication of an updated version or other reasonable means, unless the change is required immediately for legal, security, compliance, operational or urgent reasons.

The updated Privacy Policy will become effective on the date indicated in the updated version.

Continued access to or use of SoluCortex after the updated Privacy Policy becomes effective constitutes acknowledgement of the updated Privacy Policy, to the extent permitted by applicable law.
